Mutual Non-Disclosure Agreement

1. Parties and purpose

This agreement is between MissionObjective.ai, operator of SpanQ, and the organisation or individual using SpanQ. It protects confidential information shared while evaluating or using SpanQ (the "Purpose").

2. Confidential information

Any non-public business, technical, financial or operational information disclosed by either party, including business problem descriptions, data files, optimisation models, results, pricing and product roadmaps.

3. Exclusions

• Information already public through no fault of the recipient;
• information the recipient already lawfully had;
• information independently developed without use of the other's information;
• information lawfully received from a third party without restriction.

4. Obligations

• Use confidential information only for the Purpose.
• Protect it with at least reasonable care.
• Share it only with staff and advisers who need it and are bound by similar duties.
• Return or delete it on request.

5. Required disclosure

A party may disclose information if required by law or regulator, giving prompt notice where lawful.

6. Term

Obligations last for the period of use and for 3 years afterwards; trade secrets remain protected for as long as they stay secret.

7. General
