1. About these terms

These Terms & Conditions ("Terms") govern your access to and use of SpanQ (the "Service"), available at spanq.app. SpanQ is operated by MissionObjective.ai ("we", "us", "our"). By creating an account, logging in or using the Service, you agree to these Terms. If you use SpanQ on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" refers to it.

2. The Service

SpanQ helps teams turn business problems into optimisation models (including QUBO formulations), compare classical and quantum computing options, run optimisations, and generate code for developers. Outputs are decision-support tools only. We may add, change or remove features at any time.

3. Accounts

  • You must provide accurate information and keep your login details confidential.
  • You are responsible for all activity under your account.
  • The demo account is shared and public: do not enter confidential or personal data into it.
  • We may suspend or close accounts that breach these Terms.

4. Acceptable use

You must not:

  • use the Service unlawfully, or to infringe anyone's rights;
  • attempt to gain unauthorised access to, disrupt or reverse-engineer the Service;
  • upload malware or content you have no right to share;
  • resell or provide the Service to third parties without our written consent;
  • use the Service to build a competing product.

5. Your data

You keep all rights to the business descriptions, data files, notes and other content you submit ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and improve the Service. We handle personal data in line with applicable data protection law, including UK GDPR. Where you choose to send a problem to a third-party provider (for example D-Wave, IBM Quantum, Amazon Braket, Gurobi or an AI model provider), that provider's own terms also apply.

6. Confidentiality

Each party will keep the other's confidential information private and use it only for the purposes of these Terms. Where a separate Non-Disclosure Agreement is in place, it applies alongside these Terms. See our NDA.

7. Intellectual property

We own all rights in the Service, including its software, design, templates and the SpanQ name. Code generated for you by the Service may be used, modified and deployed by you for your own internal business purposes.

8. Third-party services and API keys

You may connect your own credentials for third-party services. You are responsible for those accounts, their costs and compliance with their terms. We are not responsible for the availability or results of third-party hardware or software.

9. Fees

Some features may be offered free or as a trial. Paid plans, where offered, will be billed as stated at the time of purchase. Fees are exclusive of VAT unless stated otherwise.

10. No warranty

Optimisation results, recommendations and generated code are provided "as is". You are responsible for checking outputs before relying on them for operational, financial or safety-critical decisions. To the extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose.

11. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited by law. Otherwise, we are not liable for loss of profits, revenue, data or business opportunity, or for indirect or consequential loss. Our total liability in any 12-month period is limited to the greater of the fees you paid us in that period or £100.

12. Indemnity

You will indemnify us against claims arising from your Customer Data or your breach of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or end access on notice, or immediately for serious breach. Sections 5–7 and 10–15 survive termination.

14. Changes

We may update these Terms. We will post the updated version here with a new date; continued use after that means you accept the changes.

15. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
